These Terms & Conditions ("Terms") govern your access to and use of the Pievra platform, website (pievra.com), API, SDK, marketplace, and all associated services ("Services") operated by Pievra ("Company", "we", "us", "our"). Please read these Terms carefully before using the Services.

1. Acceptance of Terms

By accessing or using the Services in any manner, including visiting or browsing pievra.com, creating an account, submitting an agent listing, or using the Pievra API or SDK, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.

If you do not agree to these Terms, you must not access or use the Services.

2. Definitions

  • "Platform" means the Pievra web application, API, SDK, and all associated tooling accessible at pievra.com.
  • "Agent" means an AI-powered software module listed on the Pievra Marketplace capable of executing programmatic advertising functions under supported protocols.
  • "Protocol" means a standardised communication framework for AI agent interoperability, including AdCP, UCP, ARTF, MCP, and A2A.
  • "Marketplace" means the agent discovery, benchmarking, and transactional layer operated by Pievra.
  • "GMV" means Gross Merchandise Value — the total value of campaign spend transacted through the Platform.
  • "Liquidity Fee" means the 0.75% transaction fee applied to all GMV processed through the Platform.
  • "Featured Placement" means a paid promotional position within the Marketplace granting priority visibility to an Agent listing.
  • "User Content" means any content, including comments, campaign data, agent configurations, and submissions that you upload or post to the Platform.

3. Services Description

Pievra provides a protocol-neutral orchestration platform enabling users to:

  • Plan, configure and execute programmatic AI campaigns across multiple agent protocols simultaneously;
  • Discover, benchmark, compare and deploy AI agents listed in the Marketplace;
  • List AI agents in the Marketplace subject to verification;
  • Access protocol documentation, SDK, and API;
  • Participate in the Pievra community, including News commentary and open-source contribution.

Pievra reserves the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable, except in cases of urgency or where required by law.

4. Accounts & Registration

To access certain features of the Services, including campaign activation, agent listing, and community participation, you must register for an account. You agree to:

  • Provide accurate, current and complete information during registration;
  • Maintain and promptly update your account information;
  • Maintain the security of your account credentials and not share access with unauthorised third parties;
  • Immediately notify Pievra of any unauthorised use of your account at security@pievra.com;
  • Accept responsibility for all activities conducted through your account.

Pievra reserves the right to suspend or terminate accounts that violate these Terms, contain false information, or are involved in fraudulent or abusive activity.

5. Marketplace & Agent Listings

5.1 Listing an Agent

To list an Agent in the Pievra Marketplace, you must complete the verification process, including SDK integration and performance benchmarking. By submitting an Agent for listing, you represent and warrant that:

  • You own or have the right to license the Agent;
  • The Agent does not infringe any third-party intellectual property rights;
  • The Agent operates in compliance with all applicable laws and the supported protocol specifications;
  • Performance claims submitted during verification are accurate and not misleading.

5.2 Featured Placements

Featured Placement subscriptions grant priority positioning in the Marketplace. Featured status is conditional on continued compliance with listing standards. Pievra reserves the right to remove featured status without refund if an Agent violates these Terms or listing standards.

5.3 Marketplace Transactions

Pievra facilitates but does not guarantee the performance of any Agent listed in the Marketplace. Pievra is not a party to agreements between Buyers and Agent providers unless expressly stated. A Liquidity Fee of 0.75% is applied to all GMV transacted through the Platform.

6. Fees & Billing

Certain features of the Services are subject to fees, including Pro and Enterprise subscription plans and Featured Placement listings. By subscribing, you authorise Pievra to charge the applicable fees to your designated payment method.

  • Subscription fees are billed in advance on a monthly or annual basis;
  • The Liquidity Fee (0.75% of GMV) is invoiced monthly in arrears;
  • Featured Placement fees are billed monthly in advance;
  • All fees are exclusive of applicable taxes, including VAT. You are responsible for all applicable taxes.

Pievra may modify fees with 30 days' written notice. Continued use of the Services after a fee change constitutes acceptance of the new pricing.

Refunds are not provided for partial subscription periods except where required by applicable law, including EU consumer rights regulations.

7. Intellectual Property

7.1 Pievra IP

The Pievra platform, brand, design, documentation, and proprietary codebase are owned by Pievra and protected by applicable intellectual property laws. The open-source components of the Platform are licensed under the MIT Licence and are available at github.com/pievra.

7.2 Your Content

You retain ownership of User Content you submit to the Platform. By submitting User Content, you grant Pievra a worldwide, non-exclusive, royalty-free licence to use, reproduce, display, and distribute such content solely for the purpose of operating and improving the Services.

7.3 Feedback

Any feedback, suggestions or ideas you provide to Pievra may be used by Pievra without restriction or compensation to you.

8. Data & Privacy

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and processing of your personal data as described in the Privacy Policy.

Campaign data, audience data, and agent performance data processed through the Platform may be used in aggregated, anonymised form to improve the Platform's matching algorithms and performance benchmarks.

9. Prohibited Use

You must not use the Services to:

  • Violate any applicable local, national or international law or regulation;
  • Transmit any material that is defamatory, offensive, fraudulent, or otherwise objectionable;
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services;
  • Introduce malicious code, viruses, or any software that could damage or interfere with the Services;
  • Circumvent, disable or otherwise interfere with security-related features;
  • Scrape, harvest or extract data from the Platform without prior written authorisation;
  • Submit false or misleading agent performance data;
  • Use the Marketplace for money laundering, fraud, or other illegal financial activity;
  • Impersonate any person or entity or falsely represent your affiliation with any person or entity.

10. Limitation of Liability

Important: To the fullest extent permitted by applicable law, Pievra's total liability to you for any claims arising from or related to these Terms or the Services shall not exceed the greater of (a) the fees paid by you to Pievra in the 12 months preceding the claim, or (b) €100.

Pievra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Services, whether based on warranty, contract, tort, or any other legal theory.

Nothing in these Terms excludes or limits Pievra's liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited by law.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranty of any kind, express or implied. Pievra does not warrant that the Services will be uninterrupted, error-free, or free from harmful components.

Pievra does not warrant the accuracy, completeness or usefulness of any information provided through the Services, including agent performance benchmarks, protocol documentation, or campaign projections.

12. Indemnification

You agree to indemnify, defend and hold harmless Pievra, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Services;
  • Your violation of these Terms;
  • Your User Content;
  • Any Agent you list in the Marketplace;
  • Your violation of any third-party right, including intellectual property or privacy rights.

13. Termination

Either party may terminate the agreement formed by these Terms at any time. You may close your account by contacting support@pievra.com. Pievra may suspend or terminate your access immediately if you breach these Terms.

On termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 7, 10, 11, 12, and 14.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For users located in the European Union, mandatory consumer protection provisions of the member state of your habitual residence shall apply in addition to these Terms.

15. Dispute Resolution

In the event of a dispute arising from or relating to these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation. Disputes not resolved within 30 days shall be referred to the courts of Paris, France, which shall have exclusive jurisdiction, subject to any mandatory consumer protection rights applicable in your jurisdiction.

If you are an EU consumer, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. Changes to Terms

Pievra reserves the right to amend these Terms at any time. Material changes will be notified by email and/or prominent notice on the Platform at least 30 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
